1.2 Who this is for. This is a business-to-business service. You are buying for your business or professional activity, and by purchasing you confirm that. If you want to buy for personal or household use, write to us first. These Terms are not built for that, and the law where you live may give you rights we cannot take away.

1.3 Who can sign up. You must be an adult and have authority to bind your business. If you sign up on behalf of a company, the company is bound.

1.4 What makes up the agreement. These Terms, your order or proposal, and the annexes (plans, usage rates, sample texts). The Privacy Policy explains how we handle your data. It is not part of the contract, but you acknowledge it when you register. If a custom Setup proposal says something different about its own scope, the proposal controls. For everything else, these Terms control.

1.5 Other brands. AXIS by CREZIR (training) has its own terms at axis.crezir.com. Its membership and guarantee do not apply to CREZIR OS or CREZIR Setup.

2 · What we sell and the platform it runs on

2.1 CREZIR OS. A subscription business system. Depending on your plan, it includes:

  • one inbox for WhatsApp, Instagram, Facebook, web chat and email;
  • a CRM with a sales pipeline;
  • scheduling with automatic reminders;
  • forms and a lead-capture page;
  • automatic follow-up using standard workflows for your type of business;
  • review requests and review replies;
  • on the plans that include them: an AI assistant, payments and invoices, campaigns, a voice agent and reports.

Plan details are in Annex A and at crezir.com/en/plans/.

2.2 Always with setup. We do not sell CREZIR OS without setup. Software with nobody to get it running is exactly the problem we solve.

2.3 CREZIR Setup. The done-for-you service from our team. It comes in three forms: the CREZIR OS setup (included in every plan, with its one-time fee), Custom Setup, and Technical Setup (§4).

2.4 The third-party platform. CREZIR OS runs on a technology platform owned by another company, which we use under the CREZIR brand (white label). CREZIR did not develop that platform from scratch. What we provide is the configuration for your type of business, the setup, the support and the relationship with you. We do not use the platform as a selling point, and we do not hide it either: if you want to know which platform it is, ask us and we will tell you.

2.5 Provider rules that apply to you too. Your use of the system is subject to the rules of the platform provider and of the channels you connect (for example, Meta for WhatsApp, Instagram and Facebook, and the phone carriers for SMS and calls). The ones that affect you are summarized in sections 7 and 8. If the provider changes a rule or a feature, we may adjust the service (§11).

2.6 You are not buying the software. The setup fee pays for our work. It does not buy the software or give you lifetime access to it. Your access lasts as long as your subscription is active and paid.

2.7 No reselling. You may not resell, sublicense or offer CREZIR OS to anyone else as if it were yours, or copy its configuration to offer to third parties, without a written agreement with us.

2.8 Other companies’ trademarks. WhatsApp, Instagram and Facebook are trademarks of Meta Platforms. Stripe is a trademark of Stripe, Inc. We connect your number and accounts through the tools those companies offer to businesses. None of them sponsors or backs CREZIR.

3 · Plans, prices and payments

3.1 Plans and prices. All prices are in U.S. dollars (US$) and do not include taxes.

Custom Setup (integrations, migrations, special automations)From US$ 1,500
Technical Setup (API, webhooks, multi-location systems)From US$ 3,000

CREZIR OS has no free version and no free trial. Usage (messages, calls, AI) is billed separately (§5).

Note on names: product names are not translated. The entry plan keeps its name, CREZIR OS Esencial (Spanish for “essential”), in both languages, just like CREZIR OS and CREZIR Setup.

3.2 How an order is confirmed. An order is confirmed when you accept these Terms by checking the box or signing your proposal, and your first payment is processed.

3.3 When and how we charge.

  • Setup: charged when you sign up, before we start work.
  • Plan fee: It is paid in advance, monthly or annually depending on your plan, using the payment method you registered.
  • Who processes payments: we use Stripe. We do not store your full card details.
  • Invoices: sent to you by email.

3.4 If a payment fails. We notify you three times.

3.5 Taxes. Prices do not include taxes. If the law requires us to charge them, we add them. If you are a business in the European Union, give us your VAT number: if the reverse-charge rule applies, the invoice goes out without VAT and you account for it yourself.

3.6 Price changes. We may change prices. It applies from your next renewal. If it does not work for you, cancel before then. The price of an annual plan you already paid does not change during that year.

3.8 Payments from your own customers (Pro and Total plans). When you use the payments, invoices and payment links in CREZIR OS, the money goes through your own account with a payment processor (for example, Stripe). That contract is between you and the processor. We do not receive that money or store your customers’ card data.

4 · Setup and Custom Setup

4.1 What setup includes. On every plan:

  • installing the system for your type of business;
  • connecting WhatsApp and your social accounts;
  • loading your contacts;
  • the standard workflows for your plan (5 on Esencial, 15 on Pro, custom on Total);
  • an end-to-end test;
  • a handoff session with you.

4.2 Systems by type of business. We install from a base system matched to your business: professionals and clinics, local services, or content creators. In the U.S., the clinic system is installed without clinical data (§7.9).

4.3 What it does not include. Integrations with other systems, complex data migrations, special automations and API or webhook development are Custom Setup or Technical Setup. We tell you in the diagnostic, before you pay.

4.4 What we need from you. For setup to move forward:

  • administrator access to your accounts (Meta, WhatsApp number, social accounts), granted through the permissions those platforms offer. Do not share your passwords with us;
  • information about your business: services, prices, hours, and how you talk to your customers;
  • your contact list, only people who gave you permission (§7);
  • your time for the handoff session;
  • on plans with an AI assistant, reviewing and approving what the assistant will know and say before it goes live (§9).

If those pieces are missing, the timeline gets longer.

4.5 Timeline. It is an estimate, not a promise. Part of the process depends on third parties we do not control: business verification with Meta, approval of WhatsApp message templates, and registering your brand with carriers to send SMS in the U.S. They decide how long it takes and whether they approve.

4.6 Who does the work. Our team and independent contractors, including, once they exist, implementers holding the AXIS · Implementer Certification. We answer for their work as if it were ours, and we require confidentiality from them. If you are an implementer and want to work with us, see crezir.com/en/implementers/. CREZIR recruits certified implementers. Applying does not guarantee projects or income.

4.7 Delivery and fixes. Setup is delivered when we complete the handoff session and the end-to-end test. We email you a summary. This does not cover failures caused by third parties (Meta, carriers, the platform provider), by changes you made, or by a breach of these Terms.

4.8 Setup refunds. The setup fee is a one-time fee and is non-refundable once performed.

4.9 Custom Setup and Technical Setup. These are ordered with a written proposal that states the scope, price, schedule and payment terms. Anything not in the proposal is separate work and may cost extra. Scope changes are agreed in writing. Work already done is not refundable.

4.10 The diagnostic. A 20-minute conversation to see whether CREZIR fits. It does not obligate you to buy anything.

5 · Usage billed as you go

5.1 What it is. The costs that arise when you use the system and are not part of your plan fee: WhatsApp messages charged by Meta, SMS, calls and voice minutes, emails, use of artificial intelligence, phone numbers, and carrier registrations.

5.2 Published rates. We charge according to the rates published in Annex B and at crezir.com/en/plans/, which you can see before you buy. A rate is the provider’s cost plus our margin. We do not charge for usage that is not in the published rates.

5.4 If a rate changes. Meta, carriers and providers change their prices. If a third party’s change takes effect immediately, we pass it through from the day it takes effect.

5.5 No balance, no sends. If there is no balance or a usage invoice is overdue, we pause the sends that cost money. Your incoming messages and your data stay in place.

5.6 Used is not refundable. A message, call or AI minute that was already used is not refunded, even if you did not get the result you expected.

5.7 SMS in the U.S. and carrier registration. To send commercial text messages in the U.S., carriers require you to register your brand and campaign (this is called A2P 10DLC). We do it for you, using accurate information about your business (legal name, tax ID, address, and a website with a privacy policy and terms that mention text messaging). Carriers decide whether to approve, and they may reject or ask for changes. Without an approved registration, we do not send commercial SMS to U.S. numbers.

5.8 Reasonable use. If your usage spikes abnormally or looks like abuse, we may pause it while we review it with you.

6 · Renewal, cancellation and what happens to your data when you leave

6.1 It renews automatically. Your plan renews automatically: monthly if it is a monthly plan, yearly if it is annual, at the price in effect at that time (§3.6), until you cancel.

6.2 How to cancel. Online, from your account. You do not have to call or write. If you cannot log in, write to hola@crezir.com and we will cancel it for you. Cancellation takes effect at the end of the period you already paid for. Until then you keep using the service.

6.3 Refunds of plan fees. We do not refund periods that have already started. There is one exception: if we end the service and you have not breached anything, we refund the prepaid portion you did not use.

6.4 Your data when you leave. Your contacts, conversations and appointments are yours. When you cancel:

  • you keep access until the end of the paid period;
  • you can ask for your data in an open format (for example, CSV), or export it yourself from your account if that feature is available;
  • The platform provider may keep backup copies for a limited time before they are fully deleted.

6.5 Your phone number. Numbers and carrier registrations may be removed shortly after cancellation. If you want to keep your number, tell us before you cancel.

6.6 What you do not take with you. You take your data, not the system we built. The configuration (workflows, templates, base systems) belongs to CREZIR (§14).

7 · What you agree to do

7.1 You are responsible for your contacts. You have permission to message or call them on each channel (WhatsApp, email, SMS, calls), you keep proof of that permission, and you honor opt-outs. We do not review your lists.

7.2 No purchased lists. Do not upload lists that were bought, rented or scraped from the internet. Only people who contacted you, bought from you or gave you permission.

7.3 WhatsApp. Follow Meta’s WhatsApp Business policies. In particular:

  • get explicit opt-in before you message first;
  • outside the 24-hour window, use only templates approved by Meta;
  • always leave a way out to a person;
  • do not use the AI assistant as a general-purpose chatbot. CREZIR OS serves your own business’s customers; it is not “ChatGPT on your WhatsApp,” and Meta has prohibited that on its platform since January 15, 2026.

Meta may restrict or shut down a number. That decision is Meta’s, not ours.

7.4 SMS in the U.S. You need written, specific consent from each person, collected with a separate, optional checkbox (never as a condition of purchase). Honor STOP and HELP. An opt-out counts even if the person asks “by any reasonable means,” not only by texting STOP. Do not send affiliate marketing or “make money” messages by SMS: carriers block them.

7.5 Email. Use a real sender, include your business’s postal address, offer a one-click unsubscribe that you honor within 10 business days, and do not use misleading subject lines (CAN-SPAM). If you email people in Spain, you need their prior consent unless they are already your customers and you offer something similar to what they bought (Spain’s LSSI, art. 21).

7.6 Contact window. The workflows we install send Monday to Friday from 8:00 a.m. to 7:00 p.m. and Saturday from 9:00 a.m. to 3:00 p.m., in the recipient’s local time; never on Sundays or holidays. Replies to someone who wrote to you first have no window. Do not widen that window. If your state, country or industry requires a stricter one, you apply it.

7.7 The assistant is virtual. Do not present it as a person. Its first line must say it is a virtual assistant and offer to connect the person with a human (§9.2).

7.8 Prohibited uses. Do not use CREZIR OS to:

  • send spam, or messages that mislead people about who is writing;
  • commit fraud or phishing, impersonate someone, or ask for passwords or card numbers;
  • send illegal, violent, hateful, harassing or sexually explicit content, or content involving minors;
  • run multi-level or pyramid offers, or make income promises;
  • send content that Meta or the carriers prohibit on that channel (for example, firearms, tobacco, cannabis, predatory loans);
  • infringe other people’s rights or distribute malware;
  • do anything that puts at risk the numbers, domains and accounts we share with other customers.

7.9 Health data.

  • In the U.S., do not use CREZIR OS to store or send protected health information about patients (medical records, diagnoses, treatments, results). We do not currently offer the agreement or the configuration U.S. law requires for that (HIPAA). A U.S. clinic can use the system only if it does not store clinical data.
  • In Mexico, Colombia and Spain, health data is sensitive. You need each person’s express consent (in Mexico, in writing) and a clear purpose. The clinic forms we install include a specific checkbox for that.
  • Everywhere: the assistant does not give diagnoses or medical advice.

7.10 Your account. Protect your credentials. You are responsible for what the users you add do. If you see unauthorized access, tell us right away.

7.11 Accurate information. The information you give us (legal name, address, payment methods, carrier registrations) must be accurate and current.

7.12 Compliance with law. You comply with the laws that apply to your activity, including industry rules (for example, professional boards or health advertising) and data protection laws.

7.13 Your own notices. You must tell your contacts how you handle their data (your own privacy policy and terms), that they are talking to an AI when they are, and that you record their calls if you do.

8 · Rules by channel

ChannelWhat you can doRules that are not negotiable
EmailFollow-up, content, offersReal sender · your business’s postal address · one-click unsubscribe honored within 10 business days · non-misleading subject line. Spain: prior consent unless an existing customer with a similar offer
SMS (U.S.)Account notices, reminders, your own offers with written consentCarrier registration · separate, optional consent checkbox · STOP and HELP · opt-outs by any reasonable means · no affiliate or “make money” content
WhatsAppConversations with people who wrote first; templates with opt-inExplicit opt-in before writing first · a way out to a person · no general-purpose AI
Calls and AI voiceInbound calls; outbound calls with consentPrior written consent for sales calls. In the U.S., an AI-generated voice counts as an artificial voice (FCC); respect the National Do Not Call Registry and state lists where they apply. Spain: commercial calls without consent are prohibited and, starting October 17, 2026, may only come from numbers with the 400 prefix. Mexico: do not call or message numbers listed in REPEP. Colombia: comply with Law 2300 of 2023
Social (Instagram, Facebook)Reply to people who wrote to youMeta’s policies: response window and permitted content

On any channel, replies to someone who wrote to you first have no time window. All other messages follow the window in §7.6.

9 · The AI assistant and the voice agent

9.1 What they do. On the Pro and Total plans, the AI assistant is a virtual assistant that answers, quotes and books by chat (for example, on WhatsApp) using your business’s information. On the Total plan, the AI voice agent answers phone calls.

9.2 They say what they are. The assistant identifies itself as a virtual assistant and hands the conversation to a person when the person asks. The line we use is:

“Hi, I’m [business]’s virtual assistant. If you’d rather talk to a person, type “person.””

Do not remove or change it to hide that it is AI. You must have someone to receive the handoffs. The law requires this in several places (for example, California, Maine and Utah in the U.S., and the EU AI Act), and WhatsApp requires a way out to a human.

9.3 What they do not do. They do not give diagnoses or medical, legal or tax advice. They do not negotiate prices or terms other than the ones you approved. They do not promise results. They are not general-purpose assistants.

9.4 AI can be wrong. It can misunderstand, leave something out or answer poorly. That is why:

  • you review and approve what the assistant knows and says before it goes live;
  • we recommend reading a few random conversations every week, especially in the first month, and adjusting what needs adjusting;
  • you decide what information we give it and what it may offer.

9.5 Sales calls with an AI voice. These may be made only with each person’s prior written consent. In the U.S., the FCC treats AI-generated voices as artificial voices under the Telephone Consumer Protection Act (TCPA). Without that consent, do not turn on outbound sales calls; we may switch them off if we find you do not have it.

9.6 Recordings and transcripts. If you record or transcribe calls or conversations, say so at the start and get consent where the law requires it. In many U.S. states, every person on the call must consent.

9.7 AI providers. To generate answers, the text of conversations is sent to AI model providers that are part of the platform. CREZIR does not use your contacts’ conversations to train AI models.

9.8 Clinics. The system for professionals and clinics limits the assistant to scheduling, reminders and answering administrative questions.

10 · Data processing: CREZIR as processor

This section is the data processing agreement between you and us. It is written in plain language and meets what the GDPR (art. 28) and the laws of Mexico and Colombia require of a contract with a processor.

10.1 Roles. You are the controller of your contacts’ data: you decide why and how it is used. We are the processor: we handle it on your behalf and only to provide the service. When we handle your own data as a customer (billing, support), we are the controller, and that is explained in our Privacy Policy.

10.2 What we process.

PurposeProviding CREZIR OS to you: storing your contacts and conversations, sending and receiving messages for you, scheduling, follow-up, and running the AI assistant
DataName, phone, email, social profile, conversations and files exchanged, appointments, notes, payment details you record, and whatever else you choose to upload
About whomYour customers, prospects, patients or contacts, and the users you add
For how longAs long as you have the service, plus the exit window in §6.4

10.3 Only on your instructions. We process the data only under these Terms and your written instructions (including the configuration you ask us for). If we think an instruction breaks the law, we will tell you.

10.4 Confidentiality. The people who access your data (our team and independent contractors) are bound by confidentiality and access only what the work requires.

10.5 Security. We maintain technical and organizational measures that are reasonable for the risk, including: a separate account for each customer; role-based access limited to what is needed; two-step verification on accounts with administrative access; and the security measures of the platform and channels we use. No measure is foolproof.

10.6 Subprocessors. To provide the service we use other companies that process data on our behalf: the platform provider, Meta (messaging channels), phone and email providers, AI model providers, and independent contractors. The list by category is in our Privacy Policy (§5). If you ask, we give you the list with each subprocessor’s name. You may object on data protection grounds; if we cannot reach a solution, you may cancel without penalty.

10.7 International transfers. We and our providers operate from the U.S. and other countries. If your data leaves the European Economic Area, we use the European Commission’s Standard Contractual Clauses or another valid mechanism. If your law requires another contract (for example, a data transmission contract in Colombia), we will sign it.

10.8 People’s rights. If someone asks you to access, correct or delete their data, you answer. We help you with the system’s tools. If a request reaches us, we forward it to you without delay and do not answer on your behalf unless the law requires us to.

10.10 Helping with your obligations. We give you the reasonable information you need for your impact assessments, consultations with authorities and records of processing.

10.11 When it ends. We return or delete your data under §6.4, except what the law requires us to keep.

10.12 Checks. You may ask for the reasonable information needed to verify that we comply with this section. An on-site audit only where the law requires it, with advance notice and without disrupting the service.

10.13 If California law applies to you. We are your “service provider.” We do not sell or share your contacts’ data, we do not use it outside the service we provide to you, and we do not combine it with data from other sources. We comply with the law as it applies to us as a service provider and will tell you if we can no longer do so.

10.14 Sensitive data. If you upload sensitive data (for example, health data), you must have express permission and a legal basis, and follow §7.9. We handle it with the same measures described in this section.

10.15 What stays with you. Your privacy notice to your contacts, their consent and the legal basis for each message are your responsibility (§7).

11 · Availability, support and reliance on providers

11.1 Reasonable effort. We make reasonable efforts to keep the service available, but we do not guarantee it will run without interruption or errors. There may be maintenance and outages.

11.2 We depend on third parties. CREZIR OS runs on a provider’s platform and on channels operated by other companies: Meta, carriers, Stripe, hosting and AI services. Their outages, changes or decisions can affect you. For example: Meta may suspend a number, a carrier may filter your texts, or the provider may change or retire a feature. We are not responsible for that, but we tell you as soon as we know and help you work through it.

11.3 If the provider cuts our access. If the platform provider suspends or terminates our account, we tell you as soon as we can, take reasonable steps so you can export your data, and, if we cannot keep providing the service, refund the prepaid portion you did not use.

11.4 Support. Spanish-language support, Monday to Friday, 9 a.m. to 6 p.m. Eastern Time (ET). These are our business hours.

  • Esencial: business-hours support.
  • Pro: priority support.
  • Total: priority support and a monthly review of your system.

Support covers using the system we installed. It does not include business consulting or custom work, which is Custom Setup.

11.5 Changes to the service. We may improve, change or retire features.

12 · No guarantee of sales or results

12.1 We do not promise results. We do not guarantee that you will sell more, earn more, get more appointments or more reviews, save time, or that any campaign or channel will work. That depends on your business, your market, your offers and your attention.

12.2 Numbers are estimates. The calculator on crezir.com, the examples and the case studies are estimates based on the data used in each one. They are not a promise for your business.

12.3 As is. Except for what we expressly promise in these Terms, the service is provided “AS IS” and “AS AVAILABLE,” without implied warranties of merchantability, fitness for a particular purpose, non-infringement or error-free operation, to the extent the law allows.

13 · Limitation of liability and indemnification

13.1 What we are not liable for. To the extent the law allows, we are not liable for indirect, special, incidental or consequential damages, lost profits, lost sales, lost customers, lost reputation or lost data (beyond what section 10 says), even if you told us they could happen.

13.3 What is not limited. Nothing here limits what the law does not allow to be limited: intentional misconduct or fraud, gross negligence, or personal injury. It also does not limit your payment obligations.

13.4 What you cover. You will defend and hold us harmless against claims, fines and expenses (including reasonable attorneys’ fees) brought by third parties or authorities and caused by: contacts you messaged or called without the permission the law requires; the content of your messages; use of the system in breach of these Terms or of Meta’s, carriers’ or the law’s rules; or your instructions. For that: we promptly notify you of the claim, let you control the defense and cooperate reasonably.

13.5 A fair allocation. The prices reflect this allocation of risk.

14 · Ownership: your data, our configuration

14.1 Your data is yours. Your contacts, conversations, content, brand and logos are yours. You give us a limited license to process them solely to provide the service to you.

14.2 Our configuration is ours. The workflows, templates, pipeline and field structures, base systems by type of business, base messages, documentation and procedures of CREZIR, and the CREZIR brand, belong to CREZIR. While your subscription is active, we give you a non-exclusive, non-transferable license to use them. You may not copy, export or offer them to others (§2.7).

14.3 Custom work. What is specific to your business (your data, your text, your brand) remains yours. The reusable parts we use to build it, and our method, remain CREZIR’s.

14.4 The platform. The platform belongs to its provider. We give you no rights over it beyond using the service while your subscription lasts.

14.5 Publicity. We do not publish your name, logo or results without your written permission. You do not use the CREZIR brand without ours.

14.6 Ideas. If you give us suggestions, we may use them without obligation to you.

15 · Suspension and termination by us

15.1 For non-payment. If a payment does not go through, we notify you and suspend the service. If you pay, we reactivate it. What you owe stays owed.

15.2 For abuse or risk. We may suspend immediately, and explain afterward, when there is a legal, security or reputational risk: for example, messages without permission, prohibited uses (§7.8), or an order from an authority, Meta, a carrier or the provider. If it is not fixed, we terminate the contract without a refund.

15.3 For convenience. You may cancel whenever you want (§6).

15.4 What survives. Even after the contract ends, the parts that by their nature should continue stay in force: unpaid amounts, ownership (§14), limitation of liability and indemnification (§13), confidentiality and governing law.

15.5 Sanctions. We do not provide the service to people or places with which U.S. law prohibits doing business.

16 · Changes to these Terms

We may update these Terms. Changes that the law or a provider forces on us may take effect immediately. If you do not agree with a change that materially harms you, cancel before it takes effect and we refund the prepaid portion you did not use. If you keep using the service afterward, we understand that you accept it. We keep earlier versions and will send them to you on request.

17 · Governing law and venue

Before going to a court or an arbitrator, write to us at hola@crezir.com and we will try to resolve it within the next 30 days.

18 · General provisions

  • Entire agreement. These Terms, your order or proposal and the annexes are the whole agreement between you and us for this service.
  • If a part is invalid. If a clause is held invalid, the rest stays in force.
  • No waiver. Not enforcing something at one point does not mean we give up the right to enforce it later.
  • Assignment. You may not assign this contract without our written permission. We may assign it to an affiliate or to whoever acquires the business.
  • Events beyond our control. Neither party is liable for failures caused by events beyond its reasonable control (for example, internet or provider outages, or government action).
  • Notices and electronic signatures. We communicate by email at the addresses on your account and on this page. Accepting these Terms or a proposal electronically is a valid signature.
  • Relationship between the parties. We are independent. This creates no partnership, agency or employment.
  • No third-party beneficiaries. No one else may claim rights under these Terms.
  • Language. These Terms are in Spanish and English.

  • “I accept the CREZIR Terms of Service and I have read the Privacy Policy. I am buying for my business or professional activity.”
